Investigating the Role and Position of Public Assemblies in Joint Stock Companies in Iranian and British Law

Abstract
Background and Aim: The discussion of corporate rights has theoretically led to the expansion and development of commercial law in scientific and academic societies, and from a of third parties with the company. Based on this, the purpose of this article is to investigate the role and position of public assemblies in joint stock companies in Iranian and British law.
Materials and Methods: This article is descriptive and analytical. Materials and data are also qualitative and data collection was used in collecting materials and data.
Ethical Considerations: In this article, the originality of the texts, honesty and trustworthiness are observed.
Findings: there are differences in the way of administration and the legal life of public assemblies in Iranian and British law. The reason for this difference is the root of the provisions of the amendment bill of Iran's trade law, which is based on French trade law (1966 AD) and that part of the English legal system is based on Jurisdiction is based, returns.
Conclusion: The result is that regarding the responsibility of managers in a joint stock company in Iranian and British law, according to the principles and regulations related to civil liability, a person, both real and legal, is recognized as responsible, and if a collective does not have a legal of responsibility exist for the people of that group, only they can be considered responsible and required to compensate for the damage.
