Analyzing the Intelligent System of Electronic Contract Conclusion in Iranian Law and European Union Rules

Abstract
Background and purpose: Concluding electronic contract by means of intelligence or automated system that makes offer and acceptance and determines the terms and conditions  of a contract, has been taken into consideration by legal systems and it has enjoyed the privileged position.
Method and Materials: The research method is descriptive _analytical.
Ethical Considerations: In present paper ,the principles of trustworthiness,honesty, and text originality have been observed.
Findings: To explain  electronic agents by intelligent system of concluding  contracts, some people believe that electronic agent is only a means to declare the will , some have also considered granting legal personality to this intelligence system as mandatory and some justified it as a legal agent in agency.
Result :From  Iranian  law perspective, given that in Iran Electronic  Commerce Law, computer system has been recognized as" person" ,as a rule, individuals, both real and legal,must have full capacity, therefore a computer system should have capacity to conclude the contract. One of the most important European Union laws has been Electronic Commetce Directive  which aims to create a legal  framework to guarantee free movement   of informational  society services among  members.
