The Obstacles for the Formation of Holding Companies in the form of Limited Liability Companies in Iranian Law With a View to American Law

Abstract
Background and Aims: despite the special position of holding companies, unfortunately, in Iranian law, this type of companies has not been addressed as it should be. One of the questions that is raised about this type of companies; The possibility or impossibility of establishing it in the form of limited liability companies is the purpose of this article to investigate this issue.
Materials and Methods: This article is descriptive and analytical and library method is used.
Ethical Considerations: In this article, the originality of the texts, honesty and trustworthiness are observed.
Results: American laws with the statistics of the facilities in which the holding company can be formed; It has not allowed the establishment of these types of companies in the form of limited liability companies. In Iran's jurisprudence, there is no clarity in the related laws regarding the possibility or non-possibility of forming holding companies in the form of limited liability companies.
Conclusion: The data of this research, based on the definitions of holding company and its comparison with the legal articles related to the definition and declaration characteristics of a limited liability company, show that currently, according to the current laws of the country, it is possible to form holding companies in the form of a company. There is no responsibility.
